Job Description

Location: Houston, TX
Type of Position: Direct Hire
Responsibilities:
- Transaction Intake: Review incoming loan requests and credit memos to determine necessary documentation for a range of loan types (e.g., term, construction, SBA, A&D, revolving credit).
- Document Drafting: Prepare legal documentation, including but not limited to loan agreements, promissory notes, deeds of trust, security and guaranty agreements, subordination and indemnity agreements, and participation agreements.
- Loan Modifications: Draft amendment and modification documents as required.
- Title & Records Coordination: Order and analyze title commitments, Nothing Further Certificates, and related materials.
- Legal Research: Conduct entity and document searches via Secretary of State websites, including certificates of good standing, UCC filings, and historical records.
- Client Communications: Interface with clients, title companies, and opposing counsel regarding document issues and closing procedures.
- Document Review: Ensure accuracy of executed legal documents, signatures, notarizations, and related elements before finalization.
- Closing Coordination: Manage logistics for complex commercial loan closings, ensuring completeness and compliance.
- Post-Closing Activities: Conduct follow-up reviews and confirm all post-closing items are completed in accordance with requirements.
Requirements:
- Prior experience supporting legal matters in real estate or banking law, with emphasis on commercial loan documentation
- Familiarity with a variety of loan structures, including SBA, A&D, and term loans
- Strong skills in drafting and revising legal and financial documents
- Experience in title research, UCC filings, and legal due diligence
- Ability to work autonomously and manage multiple deadlines with a high level of detail
- Excellent written and verbal communication abilities
- Proficiency with WordPerfect, Microsoft Word, and document management systems
- Capable of working under pressure in a deadline-driven environment
