Job Description

North America’s largest inspection services company is looking for a Corporate Legal Counsel to provide strategic legal advice and insights on various organizational matters. Location: NW Houston, TX  77377
Type of Position: Direct Hire

Responsibilities:
  • Provide practical legal advice regarding employment obligations and challenges, including off-boarding high-risk employees, negotiation of severance agreements etc.
  • Assist with and guide workers compensation matters, with high level risk, to conclusion.
  • Perform or assist with internal investigations involving alleged violations of the Code of Conduct and engage external legal counsel as appropriate.
  • Manage litigation, EEOC matters, and other claims related to employment matters, in multiple jurisdictions within the USA.
  • Make recommendations and provide support for policy development, review, and implementation, as appropriate.
  • Responsible for auto and general litigation claims and lawsuit management.
  • Together with insurers, external counsel, and the General Counsel to resolve claims minimizing legal and financial exposure to the company.
  • Draft, review, and finalize complex commercial contracts.
  • Address specific areas of contractual dispute with client legal representatives.
  • Draft responses and memoranda of understanding and other legal documents.
  • Share technical, commercial, and contractual expertise with team members to ensure bid preparation is conducted in an efficient manner.
  • Provide legal advice and opinions on a diverse range of matters.
  • Act as the legal lead on matters of local operational concern.
  • Address preparation and non-compliance with restrictive covenants.
  • Resolve pending or threatened disputes between the company and third parties.
  • Assist in collection of unpaid debts.
  • Consult and advise management on highly confidential and sensitive matters.
  • Perform discovery and due diligence of various electronically stored or physical records in preparation for litigation, transactional work, financing, or M&A transactions.
  • Provide best practice recommendations regarding corporate compliance.
  • Work with the senior leadership team and support the General Counsel to develop risk avoidance and mitigation strategies and organizational policies, procedures, and standards.
  • At the direction of General Counsel, assess and coordinate management of litigation and provide instruction to external counsel as required.
  • Identify and evaluate potential and actual legal issues associated with business initiatives, particularly those with high visibility and risk, and develop recommendations to alleviate risk and achieve business objectives.

Requirements:
  • Active Law Degree from an accredited and reputable school. Active legal license, in good standing
  • A minimum of seven (7) years of experience as a lawyer required, with previous in-house experience.
  • Experience with service companies employing a large number of employees in multiple states.
  • Well rounded experience in legal matters including employment matters, litigation, insurance, contracts, and acquisitions.
  • Great interpersonal skills and high emotional intelligence
